Acquisition of CHS Technical Contracting & Trading N.V. by Van Dorp Installaties B.V. (Notification of a Concentration)
On March 31 2026, the Aruba Fair Trade Authority (AFTA) received a notification from Van Dorp Installaties B.V. (Van Dorp) concerning an intended concentration within the meaning of Article 3.1, paragraph 1 of the Competition Ordinance.
According to the notification, the intended transaction consists of the acquisition by Van Dorp of sole control over CHS Technical Contracting & Trading Company N.V. (“CHS”), pursuant to a share purchase agreement concluded between Multi Install Tech N.V. (seller), CHS (target), and Van Dorp (purchaser). The transaction entails the transfer of all shares in CHS, a subsidiary of Multi Install Tech N.V., to Van Dorp.
Activities of the Parties
Van Dorp
is active in the design, installation, management, and maintenance of technical installations in the built environment. Through its subsidiary Pro‑Tec Mechanical Contractors Aruba N.V., Van Dorp is present on Aruba in the field of mechanical installations, including heating, ventilation, and air conditioning (HVAC).
CHS
is active in Aruba in the provision of mechanical, electrical, and plumbing installation services.
Rationale for the Transaction
According to the notifying party, the transaction is part of a strategy to establish an integrated installation group in Aruba. The transaction is expected to create a single point of contact for the design, implementation, and maintenance of all building-related technical installations (mechanical, electrical, and plumbing services).
Relevant Markets
For the purposes of the notification, the relevant product markets comprise the provision of:
- mechanical installation services,
- electrical installation services, and
- plumbing services.
The geographic scope of these markets is limited to Aruba.
AFTA Competence
The AFTA performs its duties in accordance with the Competition Ordinance. Although the Competition Ordinance does not grant the AFTA the authority to block acquisitions, mergers, or joint ventures, it does require that large transactions of this nature be notified to the AFTA prior to their implementation. This notification is published pursuant to Article 3.2, paragraph 2 of the Competition Ordinance and is of an informative nature.
