Boogaard intends to take over Seguro Geerman’s customer portfolio (concentration notification).

The Aruba Fair Trade Authority (hereinafter: AFTA) received, on 1 July 2025, a notification of a possible intended concentration within the meaning of Article 3(1) of the Competition Ordinance.

The notification concerns the acquisition of the customer portfolio of Seguros Geerman N.V. (hereinafter: Seguros Geerman) by Boogaard Assurantiën N.V. (hereinafter: Boogaard).
The proposed transfer of the portfolio is intended to take place on 1 August 2025.

Activities of the undertakings concerned

According to the notification, the undertakings concerned carry out the following activities:

  • Boogaard is active as an insurance intermediary on the Aruban market and provides insurance-related services, including home insurance, motor vehicle insurance, life insurance, health insurance, and liability insurance, to both private individuals and business customers. Boogaard forms part of the Guardian Group.
  • Seguros Geerman is also active as an insurance intermediary and provides insurance intermediation and advisory services to both private and business customers in Aruba.

Powers of the AFTA in relation to concentrations

AFTA carries out its tasks in accordance with the Competition Ordinance. Although the Competition Ordinance does not grant AFTA the authority to block acquisitions, mergers, and joint ventures, it does require that significant acquisitions, mergers, and joint ventures be notified to AFTA prior to their completion. AFTA will assess whether the transaction reported by 2Fast4U falls within the scope of Article 3.1 of the Competition Ordinance. This notification is made in accordance with Article 3.2, paragraph 2 of the Competition Ordinance and has been published in the Landscourant of Aruba.
